Terms of Service

1. Agreement to terms

These Terms of Service govern your access to and use of the Engramic platform, website, and related services (together, the "Service"), operated by Engramic Ltd, a company registered in England and Wales (Company No. 17033873).

By accessing or using the Service, you agree to be bound by these terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you agree to these terms on that organisation's behalf.

2. What Engramic is

Engramic is an organisation knowledge-graph service. Your team authors a graph of decisions, goals, and constraints, which Engramic delivers to your AI agents at the start of their tasks over MCP (the Model Context Protocol).

The Service is provided to help your agents work with the context your organisation holds. It does not replace your own judgement, and the availability of specific features may depend on your subscription plan.

3. Accounts and eligibility

Access to the platform is by invitation or registration. When you create an account, you agree to provide accurate and complete information and to keep it up to date.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use.

You must be at least 18 years old and, where you use the Service on behalf of an organisation, authorised to bind that organisation to these terms.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in breach of any applicable law or regulation
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law
  • Abuse, disrupt, or interfere with the operation, integrity, or security of the Service
  • Attempt to gain unauthorised access to any part of the Service or its underlying systems
  • Upload or transmit content that is unlawful, infringing, or that you do not have the right to share

5. Your content and ownership

You retain ownership of the knowledge, data, and content you author or upload to the Service ("Your Content"). Your organisation's intelligence stays yours.

You grant Engramic a limited, non-exclusive licence to host, store, and process Your Content solely to the extent necessary to provide and maintain the Service for you. Engramic does not claim ownership of Your Content and will not use it for any purpose other than providing the Service, except as described in our Privacy Policy or as required by law.

6. Subscriptions and billing

Paid plans are billed in accordance with the pricing set out on our pricing page. Where a plan is charged per seat, fees are based on the number of applicable users on your workspace.

Subscriptions renew automatically for successive billing periods unless cancelled before the end of the current period. You may cancel at any time, and cancellation takes effect at the end of your current billing period.

Except where required by law, fees already paid are non-refundable. We may change our prices, and will give reasonable notice of any change that affects your subscription.

7. Third-party services

The Service integrates with third-party services, including Anthropic (Claude), Google (sign-in), Stripe (billing), and MCP-compatible clients. Your use of those portions of the Service is also subject to the relevant third party's own terms and policies.

We are not responsible for the availability, accuracy, or conduct of third-party services, and their inclusion does not imply our endorsement.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

The Service works with AI systems, and output produced by or through AI may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing and verifying any output before relying on it.

9. Limitation of liability

To the fullest extent permitted by law, Engramic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service.

Our total aggregate liability arising out of or in connection with the Service will not exceed the amount you paid to us for the Service in the 12 months preceding the event giving rise to the claim. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these terms or if we are required to do so by law.

On termination, your right to access the Service ends. We will handle any personal data in accordance with our Privacy Policy, and you may request an export or deletion of Your Content as described there.

11. Changes to these terms

We may update these terms from time to time. The date at the top of this page indicates when they were last revised. Your continued use of the Service after any change takes effect constitutes acceptance of the updated terms.

Where changes are material, we will take reasonable steps to notify registered users, for example by email.

12. Governing law

[Governing law — England & Wales]. These terms, and any dispute arising out of or in connection with them, are governed by and construed in accordance with that law, and the courts of that jurisdiction have exclusive jurisdiction.
